These Terms govern your access to and use of Citipen — an AI workspace operated by TAK Trading Co., Ltd. (“Citipen”, “we”, “us”) at citipen.com. By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 16 years old (13 with parental consent where lawful) and have legal capacity to enter a contract. You may not use the Service if you are prohibited from receiving services under the laws of Vietnam, the United States, or your country of residence.

2. The Service

Citipen provides AI-powered tools for content creators: text-to-image, text-to-video, voice generation, transcript, video analytics, market research, and related utilities. Output quality depends on third-party AI providers and is not guaranteed.

3. Account & credits

Your account identity is provided by Clerk; you are responsible for all activity under your account.
Credits purchased through Bank VN transfer or USDT TRC-20 are a prepaid limited license to use the Service.
Credits are not currency, are non-transferable, and have no cash value outside the Service.
Pricing is shown in USD with an indicative local-currency conversion based on your IP geolocation.

4. User content & ownership

You retain ownership of content you upload (“Input”).
You own the output the AI generates from your Input (“Output”), subject to third-party rights and the licenses of the underlying AI models.
You warrant that your Input does not infringe any third-party right and that you have all necessary rights/licenses to upload it.
You are solely responsible for how you use Output. AI-generated content may resemble existing works; you must check for infringement before commercial use.

5. Video downloader / transcript / analytics tools

Some tools accept third-party URLs (e.g. social media). By submitting such URLs you represent that you own, license, or have a lawful basis (research, fair-use, accessibility) to process that content. We do not host third-party content; downloads/transcripts run on the Service for your private review.

6. Prohibited use

You agree not to use the Service to generate or distribute material described in our Acceptable Use Policy, including but not limited to: CSAM, deepfake intimate imagery, content that defames or harasses real people, malware, copyright-infringing redistribution, or anything illegal under applicable law.

7. Suspension & termination

We may suspend or terminate your account, with or without notice, for breach of these Terms, AUP violation, chargeback, fraud, or applicable legal request. Unused credits associated with a terminated account for breach are forfeited.

8. Third-party services

Citipen uses third-party AI providers (e.g. fal.ai, DeepSeek, Anthropic, Groq, Replicate, Apify) and storage providers (Google Drive, Dropbox) when you connect them. Their respective terms apply to your use of those services through Citipen.

9. Disclaimers

The Service is provided “as is”. We disclaim all implied warranties to the maximum extent permitted by law. AI Output may be inaccurate, biased, or offensive; do not rely on it as professional (medical, legal, financial) advice.

10. Limitation of liability

To the maximum extent permitted by law, Citipen's aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) USD 100 or (b) the amount you paid us in the 3 months preceding the claim.

11. Indemnity

You agree to defend and indemnify Citipen against claims arising from your Input, your Output usage, or your breach of these Terms or applicable law.

12. Changes

We may update these Terms. Material changes will be announced via email and/or in-app notice at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law & disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam. Disputes will first be attempted in good faith through email at [email protected]; unresolved disputes shall be submitted to the competent courts of Đồng Nai, Vietnam.
